End User License Agreement for Ebono

This End User License Agreement (“Agreement”) is a legal agreement between you and Ebono, LLC, a company based in the United States of America (“Ebono”). By downloading, installing, accessing, or using the Ebono mobile application (“App”), you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, access, or use the App.

1. License Grant. Ebono grants you a limited, non-exclusive, non-transferable, revocable license to download, install, access, and use the App on any mobile device that you own or control, and to use the App solely for your personal, non-commercial purposes.
2. You may not: (a) reproduce, distribute, sell, transfer, or sublicense the App or any portion thereof; (b) modify, adapt, or create derivative works of the App; (c) reverse engineer, decompile, or disassemble the App; (d) remove any proprietary notices or labels from the App; or (e) use the App for any illegal or unauthorized purpose.
3. The App allows users to make charitable donations to various organizations. By using the App to make a donation, you acknowledge and agree that: (a) the donation is final and non-refundable; (b) Ebono is not responsible for the use of the donation by the recipient organization; and (c) you are solely responsible for compliance with any applicable laws related to the donation, including but not limited to tax laws.
4. User Content. The App may allow users to submit, upload, or post content, including but not limited to text, images, and videos (“User Content”). By submitting, uploading, or posting User Content, you grant Ebono a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the User Content in connection with the App and Ebono’s business. You represent and warrant that you have all rights necessary to grant this license, and that the User Content does not infringe the intellectual property rights of any third party.
5. Third-Party Services. The App may provide access to third-party services, websites, or content (“Third-Party Services”). Ebono is not responsible for the availability or accuracy of Third-Party Services, and you use them at your own risk. Ebono will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.
6. Ebono may terminate this Agreement and your license to use the App at any time for any reason. Upon termination, you must immediately cease all use of the App and delete the App from your mobile device.
7. Disclaimer of Warranties. The App is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Ebono does not warrant that the App will be uninterrupted or error-free, and Ebono will not be liable for any interruptions or errors.
8. Limitation of Liability. In no event shall Ebono be liable for any indirect, incidental, consequential, or special damages, or any loss of profits or revenues, arising out of or in connection with the use of the App.
9. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the United States of America.
10. User Account: In order to use the Ebono App, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account information and for any activities that occur under your account.
11. Eligibility: By using the Ebono App, you represent and warrant that you are of legal age to form a binding contract and that you are not prohibited from using the Ebono App under any applicable laws.
12. Privacy Policy: The use of the Ebono App is subject to our Privacy Policy, which is incorporated into this Agreement by reference. By using the Ebono App, you agree to the terms of our Privacy Policy.
13. Updates and Modifications: Ebono reserves the right to make updates and modifications to the Ebono App at any time and without notice.
14. User Conduct: You agree to use the Ebono App in compliance with all applicable laws and regulations and in a manner that does not infringe the rights of any third party. You may not use the Ebono App to engage in any illegal or fraudulent activity, or to transmit any malicious or harmful code.
15. User Feedback: By submitting feedback, suggestions, or other information to Ebono, you grant Ebono a perpetual, non-exclusive, royalty-free, worldwide license to use and incorporate such feedback, suggestions, or other information into the Ebono App.
16. Indemnification: You agree to indemnify and hold Ebono, its affiliates, and their respective officers, directors, employees, and agents harmless from any claim, demand, or damage, including reasonable attorneys’ fees, arising out of or related to your use of the Ebono App or your violation of this Agreement.
17. No Warranties for Third-Party Services: Ebono does not make any representations or warranties about the accuracy or completeness of any Third-Party Services accessed through the Ebono App.
18. No Professional Advice: The Ebono App and any information or materials provided through the Ebono App are for general informational purposes only and are not intended to provide legal, financial, or other professional advice.
